Important dispute notice
1. About these Terms and related documents
These Terms of Service ("Terms") are a binding agreement between you and Shopinion Inc., a Delaware corporation ("Shopinion," "we," "us," or "our"). They govern your access to and use of the Shopinion mobile application, the shopinion.ai website, purchase-wallet features, retailer and financial-account import and synchronization features, social and messaging features, merchant offers, reviews, rewards, AI-assisted features, administrative interfaces made available to users, and related services (collectively, the "Service").
The Service is intended for use in the United States. These Terms apply primarily to consumer and personal-account use. If you create, administer, join, or use a business, employee, merchant, creator, influencer, or other commercial profile, additional terms may apply and will control for the feature or commercial relationship they cover if they conflict with these Terms.
Our Privacy Policy, available at shopinion.ai/privacy, explains how we collect, use, disclose, retain, and protect personal data. Our separate Consumer Health Data Privacy Notice, available at shopinion.ai/consumer-health-data-privacy-notice, applies to consumer health data. The Data Import and Ongoing Sync Agreement, available at shopinion.ai/data-import-terms and presented before a connected-source feature is enabled, governs retailer and financial-account connections, one-time imports, ongoing synchronization, connection artifacts, source-specific risks, disconnection, and related data handling. Offer-specific terms, reward-program terms, promotion rules, app-store terms, consent screens, and other supplemental terms apply when presented to you. The more specific terms control for the feature, data practice, transaction, or program they cover.
2. Acceptance of the Terms
You accept these Terms when, after the Terms and the arbitration notice are presented through reasonably conspicuous links, you tap or click an affirmative button such as "Create Account," "Agree," "Accept," or "Continue." If you use a public portion of the Service without an account, these Terms apply to that use to the extent they are conspicuously presented and enforceable. Shopinion may require renewed affirmative acceptance for a material update. If you do not agree, do not create an account or use the Service.
If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes the organization for that use. Acceptance of these consumer Terms does not replace any Merchant Services Agreement or other commercial agreement that Shopinion requires.
Section 29 contains a binding individual arbitration agreement and class action and jury trial waivers. You may opt out of Section 29 within 30 days after you first accept these Terms, using the methods described in Section 29.8.
2.1 Acknowledgment of social sharing and security risks
By accepting these Terms, you acknowledge the Important Social Sharing and Security Notice at the beginning of these Terms. Shopinion is a social shopping network designed to let users organize purchases and, when they choose, share selected shopping information with other users, groups, merchants, or public audiences. Your purchase wallet remains private by default, but you are responsible for reviewing the intended audience and visible fields before you share information.
You agree not to upload, import, store, send, or share highly sensitive information unless a Shopinion feature expressly states that it is designed for that category and provides dedicated controls and any consent required by law. You understand that recipients may screenshot, copy, save, download, forward, or disclose information outside Shopinion; that later hiding or deletion may not remove copies already received; and that no online service can guarantee absolute security or confidentiality.
This acknowledgment does not make private Content public, authorize Shopinion to disregard your privacy choices, replace any separate consent required by law, or waive rights or obligations that cannot lawfully be waived.
2.2 Separate acceptance for connected data sources
Acceptance of these general Terms at registration does not by itself authorize Shopinion to access a retailer, email, bank, credit-card, membership, or other connected account. Before the first import from a source, Shopinion will present the Data Import and Ongoing Sync Agreement and a source-specific disclosure identifying the source, the categories of data requested, the purpose, and the available connection choices. You must affirmatively accept the applicable terms before the connection begins.
Where offered, a one-time import and ongoing synchronization are separate choices. Selecting a one-time import does not authorize future access. Selecting "Keep Synchronized" or a similar control authorizes periodic retrieval of new and updated records until you disconnect, the source authorization expires, or Shopinion disables the connection. Shopinion may require renewed acceptance if the import method, data categories, purpose, source, or legal risk materially changes.
3. Eligibility and geographic scope
You must be at least 18 years old to create or use a Shopinion account. Shopinion does not offer an account path for minors or parental consent.
You may not use the Service if you are prohibited from receiving it under applicable law, including U.S. sanctions or export-control laws. You represent that the information you provide about eligibility is accurate.
The Service is designed for the United States. Some features, merchants, offers, or connected sources may not be available in every state or location.
4. Account registration, verification, and security
You must provide accurate and current registration information. Shopinion may use phone verification, email verification, Sign in with Apple, Sign in with Google, or other authentication methods. A Shopinion password may not be required for every sign-in method. You may not register using information that you are not authorized to use.
You are responsible for safeguarding your device, verification codes, credentials, and active sessions. Do not share one-time codes or allow another person to impersonate you. Notify security@shopinion.ai promptly if you believe your account or device has been compromised.
You are responsible for activity performed through your account unless you promptly report unauthorized access and the activity was not caused by your failure to use reasonable security. You may not sell, transfer, rent, sublicense, or assign your personal account. Do not create duplicate, deceptive, or coordinated accounts to evade limits, suspensions, eligibility rules, identity checks, or reward controls.
A personal account may include or connect to a business or employee profile. You remain responsible for selecting the correct profile and for actions taken under a profile you control. Business owners and managers are responsible for assigning, reviewing, and promptly removing employee access. Shopinion may rely on role and permission settings until it receives a valid change through the Service.
5. Limited license to use the Service and Shopinion intellectual property
Subject to these Terms, Shopinion grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Service for personal purposes and for authorized business purposes through features that Shopinion expressly makes available to you. The license ends when these Terms or your access ends.
Shopinion and its licensors own the Service, including its software, interfaces, designs, databases, compilations, branding, trademarks, content created by Shopinion, discount and reward systems, ranking and trust logic, analytics, and other intellectual property. Except for the limited license above, no right is granted by implication, estoppel, or otherwise.
You may not copy, modify, distribute, sell, lease, sublicense, publicly display, create derivative works from, reverse engineer, decompile, or attempt to extract source code from the Service except to the limited extent a restriction is prohibited by law. Open-source components remain governed by their applicable licenses.
Shopinion may install or make available updates needed for security, compatibility, legal compliance, or functionality. Some updates may be required to continue using the Service.
6. What the Service does and does not do
Shopinion is a social shopping and shopping-intelligence service. Depending on availability, it may allow users to organize purchase records, connect with other people, ask and answer shopping questions, share selected purchase information, create reviews or product discussions, message users and businesses, view merchant offers, earn or redeem benefits, and use AI-assisted features.
Features described as "when available," "coming soon," "beta," "pilot," or similar language may not yet be enabled and may be incomplete. Shopinion may add, modify, suspend, or discontinue features, merchants, integrations, or geographic availability. We will provide notice when required by law and will not use a feature change to avoid an obligation already owed to you or to retroactively deprive you of a completed benefit that applicable law requires us to honor.
Unless Shopinion clearly states otherwise for a specific transaction, Shopinion is not the seller, manufacturer, merchant of record, payment processor, shipper, insurer, health-care provider, financial adviser, or provider of the goods or services displayed, recommended, discussed, or purchased through a third party.
7. Purchase wallet, receipts, and imported purchase records
You may create purchase records manually, upload receipts or images, receive a record from a participating merchant, import receipt information from a supported email provider, retrieve purchase or order history from a supported retailer account, or import financial transaction history through a supported provider such as Plaid. You may connect, upload from, or authorize only an account, receipt, image, or source that you own or are currently authorized to use.
A retailer import may use a user-directed browser or other software tool through which you personally sign in to the retailer and instruct Shopinion to retrieve disclosed purchase-history fields. Unless the connection screen expressly says otherwise, the feature is not a direct retailer integration or retailer-approved API. Shopinion instructs the tool to retrieve purchase-history information only and not to place orders, initiate returns, change account settings, access full payment credentials, or take another transactional action.
A financial-account connection is provided through the disclosed financial-data provider. Financial transaction data may identify a financial institution, account, merchant or transaction description, date, amount, category, pending or posted status, and a limited account identifier. It generally does not establish which specific product or service was purchased. Shopinion is not a bank, credit bureau, payment initiator, tax preparer, or financial adviser.
Purchase matching, categorization, product images, merchant matching, prices, dates, itemization, warranty information, return status, and other extracted or inferred fields may be incomplete, delayed, duplicated, or inaccurate. You are responsible for reviewing and correcting records before relying on them, using them to support a Verified Purchase label, or sharing them.
The purchase wallet is a convenience tool. It is not a bank statement, tax record, legal proof of ownership, clinical record, official warranty registration, or substitute for an original receipt, account statement, or merchant confirmation. Keep original records that you may need for taxes, warranties, returns, insurance, legal matters, financial disputes, or other important purposes.
Connected-source access is optional and is governed by Section 16, the Data Import and Ongoing Sync Agreement, the Privacy Policy, the applicable connection screen, and any separate consent required by law. Disconnecting stops future retrieval after reasonable processing time but does not automatically delete purchase or transaction records already imported. Imported records remain private by default unless you affirmatively share them through Shopinion controls.
8. Social features, connections, and audience controls
Your purchase wallet is private by default. Importing, receiving, or creating a purchase record does not automatically make it public or disclose it to a merchant or another user. A record becomes visible only through the audience, connection, category, item-level, group, message, discussion, review, or public-post controls you select or through a disclosure you specifically request.
Certain basic profile information may be visible to help people find, invite, accept, manage, or block connections. Public Content is public only when the interface identifies the public audience and you affirmatively choose it. Shopinion may use labels or previews to help you understand the intended audience, but you remain responsible for reviewing the audience and visible fields before sharing.
Review the audience and visible fields before sharing. A recipient may screenshot, save, copy, forward, or disclose information outside Shopinion. Shopinion cannot control a recipient after delivery. Hiding or deleting an item later may not remove copies already received.
Blocking limits future interaction and visibility as described in the Service but may not remove previously delivered content or records preserved for safety, fraud prevention, legal compliance, or dispute resolution.
Send invitations only to people you know or are permitted to contact. Do not upload or use another person's private receipt, mailbox content, health information, contact information, photo, or other personal data without an appropriate right and permission. Do not use contact or invitation features for bulk marketing, scraping, harassment, or spam.
The Important Social Sharing and Security Notice at the beginning of these Terms and Section 2.1 form part of these social-sharing rules and apply whenever you import, store, send, or share purchase records or other Content through the Service.
9. Your Content and the permissions you give Shopinion
"Content" includes reviews, ratings, comments, questions, answers, polls, photos, videos, purchase lists, purchase notes, messages, service requests, survey responses, receipts, screenshots, documents, profile information, and other material you submit, post, upload, send, or make available through the Service.
You retain ownership of Content to the extent you own it. You represent that you have all rights, permissions, and lawful authority needed to provide the Content and to allow Shopinion to process it as described in these Terms and the Privacy Policy.
You grant Shopinion a worldwide, non-exclusive, royalty-free license to host, store, reproduce, format, transcode, technically modify, transmit, display, and otherwise process your Content only as reasonably necessary to provide, secure, maintain, moderate, troubleshoot, evaluate, and improve the Service; enforce your audience and privacy choices; prevent fraud or abuse; comply with law; and make the Content available to the people or businesses you direct. This license is sublicensable only to service providers, app stores, technical partners, and intended recipients to the limited extent needed for those purposes, and is transferable only with a permitted assignment of these Terms or the Service.
For Content you intentionally make public, the license also permits Shopinion to display, organize, translate, recommend, and distribute that public Content within the Service, on public Service pages, and in Service communications that help users discover it. Shopinion will not use private messages, selected-audience purchase records, connected-email data, consumer health data, or other restricted Content in external advertising or marketing merely because you submitted it. External advertising use of your name, likeness, or Content requires separate permission or participation in a clearly disclosed campaign, except for incidental display of a public Service page.
This license does not authorize Shopinion to use Gmail-derived data, consumer health data, private messages, or selected-audience purchase records to train a general-purpose AI model unless Shopinion first provides a specific disclosure and obtains any consent required by law. General AI-chat prompts and purpose-specific AI features are handled as described in the Privacy Policy and the notice presented with the feature.
The license ends when your Content is deleted from active systems, except to the limited extent that: (a) another user or merchant already received a copy; (b) the Content must be preserved for security, fraud prevention, legal process, accounting, chargeback, or dispute purposes; or (c) it remains temporarily in rolling backups under the Privacy Policy. Shopinion may deidentify Content and retain and use properly deidentified information as permitted by law, including to measure and improve the Service, provided that Shopinion maintains required safeguards against reidentification.
If you submit ideas, suggestions, or product feedback, Shopinion may use them without compensation or confidentiality obligation, but this does not grant Shopinion ownership of your other Content.
10. Content standards
You are responsible for your Content and conduct. You may not submit, post, transmit, or facilitate Content that:
- is unlawful, fraudulent, materially misleading, defamatory, or intended to deceive another person;
- infringes intellectual-property, privacy, publicity, confidentiality, contractual, or other rights;
- contains another person's private data without authorization, including payment-card information, government identifiers, passwords, verification codes, private mailbox content, or confidential records;
- threatens, harasses, stalks, exploits, discriminates against, or incites violence or hatred against a person or protected group;
- sexually exploits any person, sexualizes a minor, facilitates trafficking, or depicts unlawful sexual content;
- contains malware, malicious code, harmful instructions, or content intended to compromise a device, account, or system;
- is spam, an unauthorized promotion, a chain message, or repetitive solicitation;
- misrepresents your identity, qualifications, relationship, purchase, merchant affiliation, or authority; or
- otherwise violates these Terms, a supplemental policy, or applicable law.
Shopinion has zero tolerance for objectionable content and abusive users. Content that is obscene, sexually explicit, hateful, harassing, or abusive may be filtered before it is posted; when it is reported, we remove it and may suspend or terminate the account that posted it.
11. Reviews, endorsements, ratings, and material connections
Reviews, ratings, referrals, and endorsements must reflect an honest, genuine experience or opinion and must be relevant to the product, service, merchant, or topic. Do not create, buy, sell, trade, suppress, or coordinate fake reviews, fake testimonials, fake social-influence indicators, misleading verified-purchase claims, or reviews attributed to people who did not provide them.
If you receive money, a free product, a discount, a reward, an affiliate benefit, employment, ownership interest, family relationship, or another material benefit connected to a review, recommendation, referral, or post, you must make a clear and conspicuous disclosure that people are likely to notice and understand. Shopinion may add a label such as "Rewarded," "Incentivized," "Sponsored," "Affiliate," or "Merchant Relationship."
A reward may compensate a user for an eligible action, such as submitting an honest review or answering a question, but may not be conditioned on the review or opinion being positive, negative, five-star, or otherwise expressing a required sentiment. Shopinion may remove, limit, investigate, or label reviews that violate neutral content, authenticity, fraud, privacy, disclosure, or relevance rules. Shopinion will not suppress an otherwise lawful and honest review solely because it is negative or because a merchant objects to the opinion.
A "Verified Purchase" or similar label means that Shopinion recognized a qualifying purchase record under its then-current verification method. It is not a guarantee that the review is accurate, complete, unbiased, or suitable for another user.
Nothing in these Terms limits a consumer's right to communicate an honest review or performance assessment protected by the Consumer Review Fairness Act or other applicable law.
12. Merchant offers, sponsored content, and affiliate links
Shopinion may display contextual offers, personalized in-Service offers, sponsored placements, merchant messages, affiliate links, and merchant-funded recommendations. Paid or merchant-funded content will be identified with a label such as "Sponsored," "Merchant Offer," "Promoted," or "Rewarded Recommendation" where required or appropriate.
The fact that a merchant pays for placement, funds a reward, or participates in an affiliate program does not convert a friend recommendation, verified-purchase signal, or user review into a Shopinion endorsement. Shopinion may receive a commission, platform fee, referral fee, or other compensation if you view or click a partner link, redeem an offer, or complete a transaction. The merchant or third party controls the actual product price and transaction terms unless Shopinion expressly states otherwise.
Offer ranking and personalization are subject to the Privacy Policy and your applicable settings. Gmail-derived data and sensitive purchase categories are excluded from advertising uses described in the Privacy Policy.
13. Discounts, coupons, Influence, Boost, referrals, challenges, and other rewards
13.1 General reward framework and offer-specific terms
Shopinion may offer discounts, coupons, free items, access benefits, referral rewards, challenges, Influence, Boost Bonus points, Welcome Rewards, status benefits, or similar programs (collectively, "Rewards"). Each Reward is governed by the terms shown in the Service or in supplemental program rules when you enroll, perform the qualifying action, earn or claim the Reward, generate a coupon, or redeem it.
The material terms displayed on a challenge, offer, coupon, merchant page, Market listing, redemption screen, or linked program-rules page form part of these Terms for that Reward. They may include the participating merchant; qualifying task; claim deadline; eligible product, service, category, or subtotal; number and type of qualifying friends; student, university, geographic, age, or other eligibility requirements; discount method and maximum; quantity or capacity limits; availability; expiration; stacking restrictions; verification; return treatment; and fraud controls. The more specific terms control for that Reward if they conflict with this Section, except that they do not waive a right that applicable law does not permit the parties to waive.
13.2 Reward status and validation
Shopinion may identify a Reward as Estimated, Earned, Claimable, Issued, Pending, Redeemed, Confirmed, Reversed, or Expired. Not every status applies to every Reward. "Estimated" is a preliminary calculation. "Earned" or "Claimable" means that the Service currently recognizes the qualifying action but a coupon or benefit may still need to be claimed or issued. "Issued" means that a coupon or benefit has been generated. "Pending" means that eligibility, a transaction, attribution, or another condition is awaiting verification. "Redeemed" means that a participating merchant accepted the Reward for a transaction. "Confirmed" means that applicable conditions have been validated. "Reversed" means that all or part of the Reward was canceled or adjusted. "Expired" means that the stated claim, active-use, or redemption period ended.
A displayed estimate, progress bar, screenshot, Earned status, or Claimable status is not a guaranteed discount or completed benefit. A merchant discount becomes available only when the Service generates an eligible coupon or redemption and the merchant validates it under the disclosed terms.
13.3 Limited-time Free Gift Coupons
Shopinion may make a one-time Free Gift Coupon available for completing a disclosed task during a limited promotional period, such as inviting and obtaining acceptance from the first 20 Qualified Friends. The applicable screen will identify the task, whether it may be completed more than once, the period for completing it, the deadline for claiming the coupon, quantity or capacity limits, available gift categories, participating locations, and any additional conditions. Completing a task after the promotion or claim period ends does not create a right to a coupon.
Once issued, a Free Gift Coupon expires 90 days after its date of issuance unless applicable law requires a later date or the coupon expressly provides a later date. The coupon will be identified as a promotional reward and will display its expiration date. No purchase is required to redeem a Free Gift Coupon unless the promotion is clearly presented as a different purchase-contingent offer; any optional upgrade, add-on, or other separately payable item will be disclosed before redemption. Free Gift options may include coffee, boba, another beverage, food item, or another non-cash item offered by a participating local merchant, depending on the options, inventory, hours, location, and capacity available when the user redeems. Shopinion does not guarantee a particular merchant, brand, flavor, size, item, or location. When a selected item is unavailable, Shopinion or the merchant may offer a reasonably comparable non-cash substitute under the displayed terms.
An alcoholic beverage or other age-restricted item may be offered only through a separate promotion that Shopinion expressly enables, only where lawful, only through a properly licensed merchant, and only to an eligible user who satisfies the applicable minimum age and identification requirements. Shopinion will not issue or require presentation of a coupon redeemable for alcohol where applicable law prohibits that type of coupon. A merchant may require government-issued identification and may provide or require selection of a nonalcoholic substitute.
13.4 Merchant discounts and Qualified Friends
Participating merchants may create discounts for specific items, categories, services, or other offers listed in the Market section of the Service. The merchant controls the offer structure, eligible items, ordinary or maximum discount, availability, and disclosed restrictions. A discount may depend on the number of Qualified Friends connected to the user and may also depend on disclosed characteristics such as the friends' geographic area, current student status, university affiliation, category connection, verification status, or other offer-specific eligibility criteria.
For an offer, a "Qualified Friend" means a unique Shopinion account that has accepted the relevant relationship, remains in good standing, passes applicable verification and fraud checks, is not blocked or deleted, and satisfies the additional criteria shown for that offer. A merchant may require Shopinion to verify eligibility or may require the user to provide reasonable proof of the user's own student, age, location, or other disclosed status. Qualified Friend counts and eligibility can change when connections, verification, status, location, offer terms, or fraud findings change.
The Market listing in effect when a coupon is generated shows the then-current discount and material offer terms. Users should review the active listing before generating or attempting to redeem a coupon. A prior listing, notification, advertisement, or screenshot does not guarantee that the same offer remains available for a later coupon generation.
13.5 Influence and Boost Bonus points
Influence and Boost are program labels used to calculate or explain an eligible merchant benefit. Influence may reflect the user's Qualified Friends, category connections, or other disclosed social-eligibility signals. Boost Bonus points, which may also be described in the Service as Boost points or Boost Credits, are activity-based program units earned through disclosed challenges or qualifying participation. Boost points are not themselves a merchant discount percentage, although the Service may show how active Boost affects an estimated or current discount.
Unless the applicable challenge or offer clearly states otherwise before the Boost is earned, an amount of Boost begins a 10-consecutive-day active period when it is placed on the user's active Boost scale. Active Boost is applied automatically to eligible purchases during that active period, subject to the applicable merchant formula, the user's Influence or Qualified Friend level, the active-scale limit, the per-purchase or offer cap, and the merchant's maximum discount. Active Boost is not ordinarily consumed by a single purchase and may affect multiple eligible purchases during the active period. It expires automatically at the end of the 10-day period, except that Shopinion may correct a verified system error.
If the active Boost scale is full, eligible excess Boost may be saved as Boost Overflow rather than applied immediately. Boost Overflow does not increase a current discount while it remains in overflow. When active Boost expires or capacity otherwise becomes available, eligible overflow is transferred automatically to the active scale under the disclosed program order and begins its own 10-day active period when transferred. The Service may display the amount and status of active Boost and saved overflow. Shopinion may apply disclosed limits to the amount of overflow that can be stored, and an offer or challenge may disclose an overflow-expiration rule before the relevant Boost is earned.
13.6 No cash value, transfer, trade, or ownership interest
Rewards, Influence, Boost Bonus points, active Boost, Boost Overflow, Free Gift Coupons, merchant coupons, and similar benefits are promotional program rights only. They are not money, stored value, securities, property, legal tender, a deposit account, or a promise of future financial value. They may not be sold, transferred, gifted, traded, bartered, assigned, pooled, pledged, inherited, or exchanged with another user, and they may not be redeemed for cash, account credit, cryptocurrency, or another financial value unless Shopinion expressly offers a separate lawful program that says otherwise. Shopinion and participating merchants may reject a transferred, copied, resold, or shared coupon.
13.7 Offer changes, availability, and issued coupons
A participating merchant may change, update, pause, limit, or end an offer at any time for future coupon generation. Shopinion may also change or end a program prospectively for operational, legal, safety, fraud-prevention, or business reasons. Users are responsible for verifying the active discount and restrictions shown in the Market before generating a coupon.
Unless an issued coupon states that it remains subject to inventory, capacity, reservation, merchant acceptance, or another disclosed condition until redemption, a later prospective change to the offer ordinarily does not by itself change the terms of an otherwise valid, unexpired coupon already issued to the user. An issued coupon may nevertheless be refused, suspended, corrected, or canceled because of fraud or abuse; unauthorized transfer; duplicate or prior use; ineligibility; merchant closure; product or service unavailability; safety or legal requirements; an objectively obvious calculation, display, configuration, or computer error; technical duplication; or another condition disclosed when the coupon was issued. A completed redemption will not be retroactively reduced merely because the merchant later changes the offer, except for a return, refund, cancellation, chargeback, duplicate credit, fraud finding, correction required by law, or other adjustment expressly permitted by these Terms.
13.8 Fraud, abuse, obvious errors, and merchant refusal
Only authentic, qualifying actions count. Shopinion may exclude or investigate duplicate or deceptive accounts, bots, scripts, account farms, fake or circular friend networks, unauthorized referrals, manipulated reviews, coupon resale, self-dealing, coordinated redemptions, falsified student or location status, returned or canceled transactions, or other activity that violates the disclosed rules.
A merchant may temporarily refuse or hold a coupon when it reasonably and in good faith suspects fraud, abuse, manipulation, account misuse, unauthorized transfer, duplicate use, an eligibility mismatch, failure of required validation, or an objectively obvious calculation or computer error. An obvious error may include a discount materially above the disclosed maximum, an impossible or unintended price, a duplicated coupon, or a clear mismatch between the coupon and the configured offer. Where reasonably practicable, the merchant or Shopinion will identify the general reason and allow the user to contact support. Shopinion may review logs, request proportionate verification, consult the merchant, correct an estimate, or revoke an unredeemed Reward issued because of fraud, duplicate credit, inaccurate source data, ineligibility, or technical error. A merchant's change of mind or later reduction of the offer is not by itself a valid reason to refuse a previously issued coupon that remains valid under Section 13.7.
13.9 Tracking and attribution limitations
Shopinion can provide a transaction-based referral credit, Influence adjustment, Boost award, or another post-purchase benefit only when it receives sufficient reliable information to match the qualifying event to the relevant user, merchant, offer, transaction, and referral or activity. Attribution may be delayed or unavailable because of merchant or point-of-sale systems, third-party services, connectivity interruptions, a different coupon or referral source, disabled permissions, inaccurate information, duplicate identifiers, or other circumstances outside Shopinion's reasonable control.
Shopinion will use reasonable efforts to investigate a timely claim supported by appropriate records but cannot guarantee attribution when sufficiently reliable records are unavailable. This paragraph does not authorize Shopinion or a merchant to retroactively reduce a discount that was validly accepted and applied to a completed transaction, except as expressly permitted for a later return, refund, chargeback, fraud finding, duplicate credit, or correction required by law.
13.10 Returns, partial adjustments, and reversals
Returns, refunds, chargebacks, cancellations, exchanges, merchant corrections, or reversals may cancel or reverse related referral credit, Influence, Boost, status, or other post-purchase Rewards. If a transaction contains ineligible items or is partially returned, refunded, canceled, exchanged, or charged back, Shopinion or the merchant may recalculate the related Reward using the final eligible subtotal and the terms that applied when the Reward was issued. Any adjustment should be proportionate to the affected transaction amount where reasonably practicable.
The merchant's return and refund policy governs the amount returned for the underlying product or service. A Shopinion Reward does not entitle the user to receive more than the amount actually paid, and the user is not entitled to cash for a coupon, discount, Free Gift, Influence, Boost, or other non-cash Reward.
13.11 Combining offers, exclusions, and payment methods
A Reward may not be combined with another coupon, promotional code, employee discount, loyalty benefit, gift-card promotion, or third-party reward unless the applicable offer expressly permits it. Use of another discount or referral source may reduce the eligible subtotal or make the transaction ineligible. A Reward may be limited in quantity, apply only to eligible subtotal amounts, exclude taxes, tips, service charges, delivery, shipping, upgrades, gift cards, regulated products, or other items, and require a particular payment or validation method. Material stacking and payment-method restrictions will be shown in the applicable offer terms.
13.12 Reward inquiries and corrections
To request investigation of a missing, reversed, refused, or incorrect Reward, contact support@shopinion.ai within 90 days after the relevant transaction or the date the Reward was expected to be issued or confirmed, whichever is later. Include the merchant, transaction date, transaction amount, applicable task, offer or coupon, order or receipt identifier when available, and other information reasonably requested to investigate the issue. Shopinion may consult the participating merchant and relevant service providers, review coupon and transaction logs, and request additional verification. Shopinion will provide an outcome or request additional information within a reasonable period. Late reporting may make an effective investigation impossible but does not waive a right that applicable law does not permit a consumer to waive.
13.13 Additional program rules
Rewards are voluntary and are not conditioned on a positive review. You are responsible for taxes, reporting, or other obligations arising from a Reward where applicable. The Privacy Policy contains Shopinion's Notice of Financial Incentive for qualifying programs. Separate Official Rules will apply to a sweepstakes, contest, drawing, or other promotion involving chance, prizes, or winner selection.
14. Merchants and third-party transactions
Participating merchants are independent businesses. Unless Shopinion expressly identifies itself as the seller or merchant of record, any contract to purchase or receive a product or service is between you and the merchant or other third party. Shopinion ordinarily does not take title to, possess, manufacture, warehouse, deliver, or control merchant goods or services.
The merchant is responsible for its products and services, descriptions, prices, taxes, inventory, licensing, age restrictions, order acceptance, fulfillment, delivery, service performance, warranties, returns, refunds, cancellations, customer service, recalls, and compliance with law. Shopinion may facilitate discovery, messages, offers, codes, redemption confirmation, attribution, or support, but does not assume the merchant's obligations. A merchant offer is subject to the merchant's acceptance of the transaction and the disclosed offer conditions.
Shopinion does not manufacture or routinely inspect products and does not guarantee a merchant's identity, qualifications, licensing, quality, legality, safety, financial condition, availability, or performance. Verification, approval, badges, rankings, review labels, or analytics indicate only the checks or criteria described in the Service and are not an endorsement, warranty, or promise that a merchant will perform.
Resolve product, service, billing, return, refund, warranty, fulfillment, and safety issues directly with the merchant unless the Service expressly states that Shopinion is responsible. Shopinion may choose to assist with communications, investigate abuse, suspend an offer, or take action against a merchant, but is not required to adjudicate or pay a merchant's obligation.
Merchants, business owners, managers, employees, influencers, and commercial partners may be required to accept additional terms, including a Merchant Services Agreement, campaign terms, referral terms, or data-processing terms.
Merchants control their active offers and are responsible for configuring accurate eligibility criteria, exclusions, availability, capacity, staff instructions, and redemption procedures. A merchant may change future offers and may refuse, suspend, or correct a coupon only as permitted by the disclosed terms and Section 13. A merchant's later decision to lower or end an offer does not by itself retroactively change a completed redemption.
15. Product safety, recalls, and professional matters
Follow manufacturer and merchant instructions, warnings, age limits, and recall notices. Stop using a product and seek appropriate help if you believe it is unsafe. Recall, safety, compatibility, and product-status information displayed through Shopinion may be incomplete or delayed; confirm important information with the manufacturer, merchant, or appropriate government source. Report a suspected unsafe, counterfeit, recalled, or unlawful listing to support@shopinion.ai.
Content, reviews, friend advice, merchant messages, and AI output may discuss health, legal, financial, safety, or other professional topics. They are not a substitute for advice from a qualified professional who understands your circumstances. Shopinion does not guarantee that a product is appropriate, safe, lawful, effective, or compatible with you.
16. Third-party services, connected accounts, and data sources
16.1 Independent third-party services
The Service may link to or connect with email providers, retailer and membership accounts, financial institutions through Plaid, Apple, Google, Twilio, merchants, maps, social services, app stores, and other third parties. Supported retailer sources may include Amazon, Walmart, Costco, Target, and other sources displayed in the Service. Third-party names and logos are used only to identify the applicable source. Unless Shopinion expressly states otherwise, a connected source does not sponsor, endorse, approve, certify, or operate Shopinion, and Shopinion is not that source's employee, partner, representative, or authorized agent.
16.2 Retailer browser imports
For some retailer sources, Shopinion may provide a built-in browser or comparable user-directed tool. You personally open the source sign-in page, enter credentials into the source interface, complete any lawful authentication requested by the source, and direct the Shopinion tool to navigate to purchase or order history and retrieve the fields disclosed on the connection screen. The tool may act on your instructions while you are not manually clicking every page, but it is limited to the import and synchronization purpose you selected.
Unless Shopinion expressly identifies a direct integration, the retailer import is not provided through a retailer API or other contractual integration. Shopinion does not promise that a retailer permits the method, will recognize your authorization, or will continue to make the data or account pages available.
16.3 Credentials, sessions, and connection artifacts
Unless a connection screen expressly says otherwise, Shopinion does not intentionally retain the username or password you type into a retailer sign-in page as a Shopinion login credential. To keep a connection active, Shopinion may retain encrypted session cookies, access or refresh tokens, device or browser identifiers, or similar connection artifacts. The connection screen and Privacy Policy describe the method then in use. A source may require multifactor authentication, send a new-device or security alert, terminate a session, or require you to sign in again. Never give a Shopinion employee or support agent a password or one-time verification code.
16.4 One-time import, ongoing sync, and revocation
A one-time import authorizes retrieval only during the initiated import session and any reasonable technical completion period. If you separately enable ongoing synchronization, you authorize Shopinion to periodically retrieve new orders, returns, cancellations, corrections, and transaction updates from that source until you disconnect, the authorization expires, the source blocks access, or Shopinion disables the feature. You may disconnect through Shopinion account settings when available. You may also need to revoke access, log out sessions, change credentials, or use controls supplied by the source or Plaid.
16.5 Source terms, restrictions, and technical controls
Your use of a connected source remains subject to the source's own terms, privacy policy, membership rules, security requirements, and account restrictions. Some sources restrict automated access, agents, scraping, systematic downloading, use of account information for another service, or software that interacts with their sites without permission. Your authorization to Shopinion does not by itself establish that the source has authorized Shopinion or waived its terms. You are responsible for reviewing and complying with the terms that apply to your source account, and Shopinion remains responsible for its own conduct and obligations under law.
Do not connect a source if you do not own or control the account, lack authority to process the data, or know that the requested use is prohibited. You may not direct or use Shopinion to bypass a CAPTCHA, multifactor authentication, rate limit, bot or agent block, access denial, or other technical control; conceal the nature of the Shopinion tool; or continue access after the source or Shopinion instructs you to stop. If a source withdraws access, objects, changes its terms, introduces a technical block, or presents material legal, security, or operational risk, Shopinion may pause or discontinue the source immediately.
16.6 Plaid and financial-account connections
Financial-account connections are provided through Plaid or another provider identified on the connection screen. Your use of Plaid is also governed by Plaid's separate end-user terms and privacy policy. By completing the Plaid flow, you direct Plaid to provide the selected account and transaction data to Shopinion for the disclosed purchase-wallet purpose. Unless a separate feature expressly says otherwise and obtains additional authorization, Shopinion does not use the connection to initiate payments, transfer funds, obtain credit, or make changes to your financial account.
You may disconnect a Plaid connection through Shopinion and may also have controls through Plaid. Disconnecting stops future sharing through the connection but does not automatically delete data Shopinion already received. Shopinion deletion controls and the Privacy Policy govern Shopinion-held records.
16.7 Availability, timing, and source accuracy
Shopinion is not responsible for a third party's service, security, availability, data accuracy, account decisions, product listing, fulfillment, return, refund, warranty, or conduct. A source may change its pages, authentication, data format, access rules, or availability without notice. Imports and synchronization may fail, become delayed, omit records, duplicate records, or stop working. Shopinion may add, remove, limit, or redesign a connection and does not guarantee continuous source support.
17. Artificial-intelligence features
AI-assisted features may generate summaries, categories, product matches, explanations, recommendations, trust or relevance signals, moderation flags, fraud signals, draft messages, or other output. AI output can be inaccurate, incomplete, outdated, biased, fabricated, or inappropriate, and may not reflect every available product, merchant, review, or risk.
AI output is provided for information and convenience. It is not professional medical, legal, financial, tax, safety, or other expert advice and is not an endorsement, warranty, guarantee, or representation about a product, merchant, user, or third party. Sponsored or merchant-funded information will be identified separately where required or appropriate.
Evaluate important information independently before acting. Do not rely on AI to make a high-stakes decision or to enter a contract, purchase, return, payment, data-sharing permission, merchant commitment, or other binding action unless the Service clearly identifies the action, presents the material terms, and obtains any confirmation or consent required from you. An AI assistant or agent cannot bind you or Shopinion merely by generating text or a recommendation.
Do not submit passwords, verification codes, full payment-card information, government identifiers, private health information, private purchase records, or other highly sensitive information through a general AI chat. The Privacy Policy describes current AI providers, data boundaries, retention considerations, and user choices. Purpose-specific AI features may have additional notices and controls.
You may report an AI error or request review of an account, content, moderation, fraud, or reward decision. Shopinion may use automated tools to assist, but does not currently use automated decision-making to make significant decisions about employment, housing, credit, insurance, education admission, health-care eligibility, criminal justice, or access to essential services. Where appropriate, Shopinion may provide human review, but not every ranking, recommendation, or routine safety signal is individually reviewed before display.
18. Electronic communications, verification messages, and marketing choices
You agree to receive Terms, policies, notices, receipts, disclosures, and other records electronically. You may save or print them. Electronic acceptance and records have the same effect as paper acceptance and records to the extent permitted by law. Contact support if you need a reasonable alternative format.
By providing a phone number or email address, you agree that Shopinion may send non-marketing messages reasonably necessary to authenticate your account, deliver verification codes and security alerts, confirm transactions or redemptions, respond to support, administer privacy requests, deliver invitations or responses you request, and operate features you use. Message and data rates may apply, and delivery is not guaranteed.
Consent to promotional email or text messages is separate where required and is not a condition of creating an account or purchasing a merchant product. Promotional texts may be sent using automated technology only after the applicable consent; message frequency varies. You may unsubscribe from promotional email, reply STOP to promotional SMS where supported, use the provided opt-out method, or manage push notifications in the app or device settings. Reply HELP where supported for assistance. You may still receive essential account, legal, security, and transactional notices while your account remains open.
You are responsible for keeping your contact information current. A notice sent to the email address, phone number, in-app inbox, or account associated with you may be treated as delivered to the extent permitted by law. A marketing opt-out may take a reasonable period to process and does not stop messages already sent or essential non-marketing communications.
19. Prohibited conduct
You may not, and may not help another person to:
- violate law, these Terms, supplemental terms, or another person's rights;
- create a fake account, impersonate a person or business, misstate authority, or conceal prohibited conduct;
- manipulate reviews, ratings, referrals, Influence, Boost, challenges, surveys, coupon codes, redemptions, product discussions, or merchant analytics;
- use bots, scripts, click farms, account farms, coordinated fake networks, or unauthorized automation;
- scrape, crawl, harvest, index, collect, monitor, or extract data or content by automated means without Shopinion's written permission;
- reverse engineer, bypass, probe, test, disable, overload, interfere with, or circumvent security, rate limits, access controls, consent flows, privacy settings, deletion controls, moderation, or fraud systems;
- upload malware, malicious code, corrupted files, or instructions intended to harm a system or person;
- send spam, bulk invitations, deceptive promotions, or unauthorized commercial solicitations;
- harass, threaten, stalk, exploit, discriminate against, dox, or endanger another person;
- access another person's account, connected source, private Content, or data without authorization;
- use the Service, Shopinion data, or another person's purchase or social information to make or support unlawful or unauthorized decisions concerning employment, housing, credit, insurance, education, health care, essential services, or another high-impact area;
- use the Service to build a competing database, train a commercial model, identify or profile users outside the permissions provided by Shopinion, or replicate material features using Shopinion data without written permission;
- remove intellectual-property notices or misrepresent Shopinion's relationship with a retailer, financial institution, merchant, influencer, user, product, or other third party;
- connect, import from, or synchronize another person's retailer, email, bank, credit-card, membership, or other source account without current authority from the account holder and any other person whose authorization is legally required;
- use a connected-source feature to bypass a CAPTCHA, multifactor authentication, access denial, rate limit, bot or agent block, or other technical control; conceal or misrepresent the identity or operation of Shopinion software; or continue after a source or Shopinion instructs you to stop;
- direct a purchase-import feature to place an order, initiate a return, change account settings, retrieve full payment credentials, or obtain unrelated private information unless Shopinion expressly enables that action through a separate feature and obtains the required authorization; or
- use the Service in a manner that creates unreasonable legal, security, privacy, reputational, operational, or safety risk.
20. Regulated and restricted goods, services, and commercial activity
Do not use a merchant profile, offer, referral, message, or other commercial feature to list, promote, sell, arrange, or facilitate an unlawful product or service.
Unless Shopinion expressly enables the category and the merchant satisfies applicable licensing, age-verification, disclosure, location, delivery, and other legal requirements, commercial features may not be used to list, promote, sell, arrange, or facilitate alcohol, tobacco or nicotine, cannabis or controlled substances, prescription drugs, weapons or ammunition, explosives, gambling, adult sexual services, financial or insurance products, medical services, counterfeit or stolen goods, recalled or unsafe products, wildlife contraband, or other highly regulated products or services.
A Reward involving alcohol or another regulated product is available only where Shopinion expressly enables the promotion, the participating merchant holds all required licenses and approvals, the user satisfies the applicable legal age and identification requirements, and the promotion complies with all applicable location, advertising, coupon, service, and consumption restrictions. For alcohol, the user must be at least 21 years old and the merchant may require government-issued identification. Shopinion will not issue or require presentation of a coupon redeemable for alcohol where that coupon is prohibited, and a nonalcoholic substitute may be required. No Reward may be structured to encourage excessive consumption or unlawful use.
Shopinion may restrict or age-gate categories, merchants, offers, locations, audiences, messages, or transactions to comply with law, app-store rules, payment-service requirements, safety needs, or company policy. Discussion, review, or educational content about a regulated topic does not by itself authorize a commercial transaction.
21. Moderation, reports, enforcement, and appeals
Shopinion may use people, rules, and automated systems to review, label, restrict, reduce distribution of, remove, or disable access to Content, accounts, merchants, offers, messages, or features that we reasonably believe violate these Terms, create risk, or are required to be addressed by law. Shopinion does not undertake a general duty to monitor all activity, pre-screen all Content, verify every merchant statement, or preserve every item indefinitely.
We may warn a user, require verification, pause a Reward, limit visibility, freeze a coupon, preserve evidence, disable a feature, suspend an account, or terminate access. We may act without advance notice when reasonably necessary for security, safety, fraud prevention, legal process, or to prevent ongoing harm.
Where appropriate, Shopinion may provide notice of a decision and a way to appeal or request review. Some information may be withheld to protect another person, an investigation, security, or legal obligations. Enforcement in one case does not require identical action in every case and does not waive our rights.
You may report suspected violations, unsafe products, fraudulent offers, impersonation, harassment, or other concerns through available reporting tools or support@shopinion.ai. A report does not guarantee a particular outcome. Shopinion support and reporting tools are not emergency services; contact local emergency services if there is an immediate threat to a person or property.
22. Copyright and other intellectual-property complaints
Shopinion respects intellectual-property rights and may remove or disable access to allegedly infringing Content. Notices of claimed copyright infringement under the Digital Millennium Copyright Act should be sent to:
Copyright Agent, Shopinion Inc.1607 Tucumcari DrHouston, TX 77090, United StatesEmail: legal@shopinion.ai
A copyright notice should include: (a) a physical or electronic signature of the authorized person; (b) identification of the copyrighted work or a representative list; (c) identification and location of the allegedly infringing material with enough detail for Shopinion to find it; (d) contact information; (e) a statement of good-faith belief that the use is not authorized by the owner, agent, or law; and (f) a statement, under penalty of perjury, that the notice is accurate and the complaining party is authorized to act.
A counter-notice should include: (a) your physical or electronic signature; (b) identification of the removed or disabled material and its former location; (c) a statement under penalty of perjury that you have a good-faith belief the material was removed or disabled because of mistake or misidentification; and (d) your name, address, telephone number, consent to the jurisdiction of the federal district court for the judicial district in which your address is located, or if your address is outside the United States, a federal district where Shopinion may be found, and agreement to accept service from the person who submitted the original notice.
Shopinion may forward notices and counter-notices to the affected parties. After a valid counter-notice, Shopinion may restore the material in the period provided by the DMCA unless the original claimant informs Shopinion that it has filed a court action seeking to restrain the user. Shopinion may terminate repeat infringers in appropriate circumstances. Knowingly making a material misrepresentation in a notice or counter-notice may create liability. Trademark and other intellectual-property complaints may be sent to legal@shopinion.ai.
23. Suspension, termination, and account deletion
You may stop using the Service at any time and may request account deletion through the available in-app control or privacy@shopinion.ai. Shopinion may require reauthentication, a confirmation code, or other proportionate verification to prevent unauthorized deletion. Deleting the app from a device does not itself delete your account.
Shopinion may suspend, restrict, or terminate access for a material or repeated violation, suspected fraud, security risk, source complaint or access block, legal requirement, prolonged inactivity where permitted, nonpayment for a paid feature, or conduct that harms users, merchants, sources, partners, or the Service. Where appropriate, Shopinion may provide notice, an opportunity to correct a problem, or a review process, but immediate action may be necessary for safety, security, fraud prevention, source restrictions, or legal compliance.
When access ends, your license to use the Service ends immediately. Shopinion will disable active source connections and handle Shopinion-held connection artifacts and imported data under the Privacy Policy. You may still need to revoke a session or connection directly with the retailer, financial institution, email provider, or Plaid. Disconnecting or deleting an account does not cancel obligations you owe to a third party and does not necessarily delete data that a third party independently retains.
Termination does not cancel an accrued payment obligation, merchant transaction, chargeback, legal claim, or provision that by its nature should survive. Account suspension, termination, or deletion ends future Reward eligibility and generally cancels unused promotional coupons, unredeemed Free Gift Coupons, active Boost, saved Boost Overflow, and pending or claimable non-cash benefits, unless applicable law or the displayed program terms require otherwise. It does not retroactively reverse a discount already validly redeemed. Shopinion may retain limited reward, source-connection, transaction, consent, and security records as described in the Privacy Policy to resolve returns, chargebacks, fraud reviews, support requests, disputes, and legal obligations. No cash payment is due for a canceled or expired non-cash Reward.
24. Privacy and consumer health data
The Shopinion Privacy Policy describes our personal-data practices and your choices. The separate Consumer Health Data Privacy Notice applies to consumer health data and requires separate affirmative consent where applicable. The Data Import and Ongoing Sync Agreement and each connection screen provide additional disclosures and authorization choices for connected sources. These notices and agreements do not expand a waiver or limitation beyond what applicable law permits.
Acceptance of these general Terms is not a substitute for separate acceptance of the Data Import and Ongoing Sync Agreement, source-specific authorization, ongoing-sync authorization, or a consent that law requires for sensitive data, consumer health data, targeted advertising, cross-context behavioral advertising, or another specific processing activity. If a privacy notice, connection screen, or supplemental agreement and these Terms address the same data practice, the more specific disclosure controls for that practice.
Retailer and financial transaction histories can reveal medical, intimate, legal, financial, religious, location, family, or other sensitive information. Do not connect a source containing information whose exposure could cause serious harm unless the feature is expressly designed for it and you understand the controls. General acceptance of these Terms or the Data Import Agreement is not consent to collect or share consumer health data where separate consent is required.
No online service can guarantee absolute security. Protect your devices, source credentials, verification codes, and active sessions; review source security alerts; keep contact information current; and report suspected compromise to security@shopinion.ai. The Important Social Sharing and Security Notice and Section 2.1 describe user responsibilities and residual risks, but do not reduce Shopinion's obligations under the Privacy Policy, the Consumer Health Data Privacy Notice, or applicable law.
25. Service disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SHOPINION DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
SHOPINION DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; THAT PURCHASE RECORDS, CONTENT, AI OUTPUT, PRODUCT MATCHES, RECOMMENDATIONS, REVIEWS, OFFERS, PRICES, REWARD CALCULATIONS, MERCHANT INFORMATION, SAFETY INFORMATION, OR THIRD-PARTY INFORMATION WILL BE ACCURATE, COMPLETE, CURRENT, OR SUITABLE; OR THAT A PRODUCT, SERVICE, MERCHANT, USER, OR TRANSACTION WILL BE SAFE, LAWFUL, AVAILABLE, OR SATISFACTORY.
SHOPINION DOES NOT CONTROL AND IS NOT RESPONSIBLE FOR WHAT USERS, MERCHANTS, INFLUENCERS, OR OTHER THIRD PARTIES SAY OR DO, FOR PRODUCTS OR SERVICES THEY PROVIDE, OR FOR A RECIPIENT'S COPYING OR FURTHER DISCLOSURE OF CONTENT YOU CHOOSE TO SHARE. YOU ASSUME THE RISKS OF INTERACTING WITH THIRD PARTIES AND SHARING CONTENT WITH RECIPIENTS, EXCEPT TO THE EXTENT APPLICABLE LAW PROVIDES OTHERWISE.
SHOPINION DOES NOT WARRANT THAT A CONNECTED SOURCE PERMITS, RECOGNIZES, OR WILL CONTINUE TO PERMIT SHOPINION'S ACCESS; THAT A CONNECTION WILL AVOID A SECURITY ALERT, MULTIFACTOR CHALLENGE, CAPTCHA, SESSION TERMINATION, ACCOUNT REVIEW, LOCKOUT, SUSPENSION, LOSS OF BENEFITS, OR OTHER ACTION BY THE SOURCE; OR THAT AN IMPORT OR SYNC WILL BE COMPLETE, TIMELY, ITEMIZED, CURRENT, OR ERROR-FREE.
SOME STATES DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS. THESE DISCLAIMERS APPLY ONLY TO THE EXTENT PERMITTED BY THE LAW THAT APPLIES TO YOU.
The disclaimers in this Section must be read together with the Important Social Sharing and Security Notice and Section 2.1. They address residual technical risk, third-party conduct, and the limits of an online service; they do not authorize Shopinion to disregard privacy controls or limit any duty or right that cannot lawfully be limited.
26. Limitation of liability
For New Jersey residents, the warranty disclaimers, damage exclusions, liability cap, indemnification, and other limitations in these Terms apply only to the extent permitted by New Jersey law. They do not waive remedies, statutory rights, or liability that New Jersey law does not allow a consumer contract to waive.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPINION AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, CONTENT, BUSINESS, OPPORTUNITY, MEMBERSHIP BENEFITS, REWARDS, OR GOODWILL; COST OF SUBSTITUTE PRODUCTS OR SERVICES; OR DAMAGES ARISING FROM THIRD-PARTY PRODUCTS, SERVICES, CONNECTED SOURCES, MERCHANTS, CONTENT, CONDUCT, ACCOUNT ACTIONS, OR UNAUTHORIZED RECIPIENT DISCLOSURE, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHOPINION IS NOT LIABLE FOR A CONNECTED SOURCE'S INDEPENDENT DECISION TO REQUIRE REAUTHENTICATION, BLOCK OR LIMIT ACCESS, SUSPEND OR CLOSE AN ACCOUNT, CANCEL A MEMBERSHIP OR BENEFIT, OR CHANGE OR DISCONTINUE ITS SERVICE, EXCEPT TO THE EXTENT THE LOSS WAS CAUSED BY SHOPINION'S BREACH OF THESE TERMS OR THE DATA IMPORT AGREEMENT, NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, UNAUTHORIZED ACTION BEYOND YOUR INSTRUCTIONS, SECURITY OR PRIVACY FAILURE, OR VIOLATION OF LAW.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF SHOPINION AND THE PARTIES LISTED ABOVE ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) USD 100 OR (B) THE AMOUNT YOU PAID DIRECTLY TO SHOPINION FOR THE CONSUMER SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS CAP APPLIES IN THE AGGREGATE TO ALL CLAIMS ARISING FROM THE SAME OR RELATED EVENTS.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED, INCLUDING LIABILITY TO THE EXTENT ARISING FROM GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR DEATH OR PERSONAL INJURY WHERE APPLICABLE LAW PROHIBITS A LIMITATION. YOUR NONWAIVABLE CONSUMER-PROTECTION, PRIVACY, AND OTHER STATUTORY RIGHTS REMAIN IN EFFECT.
27. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Shopinion and its directors, officers, employees, contractors, and affiliates from third-party claims, losses, liabilities, damages, judgments, penalties, and reasonable costs, including reasonable attorneys' fees, arising from: (a) your Content; (b) your unlawful or unauthorized use of the Service; (c) your material violation of these Terms or a supplemental agreement; (d) your infringement or violation of another person's rights; (e) your connection of an account you do not own or have authority to use; or (f) your deliberate circumvention of a connected source's authentication, access denial, or technical control. This obligation applies only to the extent the claim is caused by your conduct and does not require you to indemnify Shopinion for Shopinion's own breach, negligence, willful misconduct, fraud, unauthorized action beyond your instructions, security or privacy failure, or violation of law.
Shopinion will provide reasonable notice of a covered claim and may control the defense and settlement. You will reasonably cooperate at Shopinion's expense for extraordinary out-of-pocket cooperation costs. Shopinion will not settle a claim in a manner that admits your personal wrongdoing or imposes a non-monetary obligation on you without your consent, which will not be unreasonably withheld.
28. Informal dispute resolution
Before filing arbitration or a lawsuit against the other party, the complaining party must send an individualized written Notice of Dispute and allow 60 days for a good-faith effort to resolve the matter, unless immediate relief is reasonably necessary to prevent imminent harm, an applicable limitations period would expire, or the claim is filed in an eligible small-claims court. The notice requirement is intended to give each side a fair opportunity to understand and resolve the specific dispute.
A Notice to Shopinion may be submitted through an in-app or web dispute form when available, by email to legal@shopinion.ai, or by mail to Shopinion Inc., Attn: Legal Notice, 1607 Tucumcari Dr, Houston, TX 77090, United States. It must include the sender's full name and contact information; the account phone number, email, or account identifier; a reasonably detailed description of the facts and legal basis; the requested relief; and the sender's signature or authenticated electronic submission. If represented, the claimant must authorize the Notice. Shopinion may send a Notice to your account email, phone, in-app inbox, or mailing address.
The parties will personally participate in a reasonable telephone or video settlement conference if either party requests one during the 60-day period. The parties may also mutually agree to nonbinding mediation, including consumer mediation administered by AAA. This informal process is a condition precedent to arbitration except where law prohibits it. Applicable limitation periods and filing deadlines are tolled during the 60-day period to the extent permitted by law.
29. Binding individual arbitration; class action and jury trial waiver
PLEASE READ THIS SECTION CAREFULLY. EXCEPT FOR THE EXCLUSIONS BELOW AND A VALID OPT-OUT, YOU AND SHOPINION AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION, NOT IN COURT. ARBITRATION HAS NO JUDGE OR JURY, DISCOVERY AND APPEAL RIGHTS ARE MORE LIMITED, AND AN ARBITRATOR'S AWARD IS GENERALLY FINAL AND BINDING.
29.1 Agreement to arbitrate
After completing Section 28, any dispute, claim, or controversy arising out of or relating to these Terms, the Service, Content, Rewards, merchants, communications, privacy, an alleged statutory violation, or the relationship between you and Shopinion (a "Dispute") will be resolved by binding individual arbitration, except for the matters excluded below. The Federal Arbitration Act governs the interpretation and enforcement of this Section. A court will decide whether an arbitration agreement was formed, whether a timely opt-out was submitted, and whether the class and representative-action waiver is enforceable; the arbitrator will decide other issues concerning the interpretation, scope, or application of this Section.
29.2 Arbitration administrator and rules
The arbitration will be administered by the American Arbitration Association ("AAA") under its then-current Consumer Arbitration Rules and Mediation Procedures, Consumer Due Process Protocol, consumer fee schedule, and, when AAA determines they apply, its Mass Arbitration Supplementary Rules and corresponding fee schedule. Those materials are available at adr.org. If AAA declines to administer because Shopinion failed to comply with applicable AAA consumer standards, registration requirements, or required fees, you may elect to proceed in court. If AAA is otherwise unavailable despite both parties' compliance, the parties will attempt to select another nationally recognized consumer-arbitration administrator; if they cannot agree, a court with jurisdiction may appoint one under applicable law.
29.3 Procedure, location, and fees
The arbitration will be conducted by one neutral arbitrator and may proceed through documents, telephone, video, or an in-person hearing. Unless the parties agree otherwise, an in-person hearing will take place in the county where you reside or another location reasonably convenient to you. Fees and costs will be allocated under the applicable AAA consumer rules and law. Shopinion will pay amounts it is required to pay for the arbitration agreement to be enforceable and will not seek reimbursement of consumer arbitration fees unless the arbitrator finds that a claim was frivolous or brought for an improper purpose under the applicable legal standard. Each party bears its own attorneys' fees unless a statute, these Terms, or the arbitrator authorizes an award.
29.4 Authority of the arbitrator
The arbitrator may award the same individual remedies a court could award, including compensatory or statutory damages, attorneys' fees, and injunctive or declaratory relief for the individual claimant. The arbitrator will apply applicable substantive law and limitations periods and will issue a reasoned written decision upon either party's timely request. The award may not provide relief for or against anyone who is not a party to the arbitration.
29.5 Exclusions
Either party may bring an individual claim in small-claims court if it remains within that court's jurisdiction. Either party may seek temporary or preliminary relief in court to prevent actual or threatened infringement or misappropriation of intellectual property, unauthorized access, misuse of confidential information, or an immediate security threat while the merits are resolved. Nothing in these Terms prevents you from reporting a matter to a government agency, and an agency may seek relief as authorized by law. Nothing waives a nonwaivable right to seek public injunctive relief; where required, that request may be severed and decided by a court after the arbitrator resolves arbitrable issues. A person alleging sexual assault or sexual harassment may elect the forum rights provided by 9 U.S.C. Sections 401-402 or other applicable law.
29.6 Individual proceedings; class and representative waiver
YOU AND SHOPINION AGREE THAT EACH MAY BRING A DISPUTE ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE-ATTORNEY-GENERAL, OR REPRESENTATIVE ACTION. The arbitrator may not combine the merits of different people's claims or preside over a class or representative proceeding. This does not prevent AAA from administratively coordinating individual cases under its applicable mass-arbitration procedures, appointing a process arbitrator, or applying an administrative protocol, provided that each merits determination and remedy remains individual and does not bind a nonparty.
29.7 Jury trial waiver
TO THE EXTENT A DISPUTE PROCEEDS IN COURT, YOU AND SHOPINION KNOWINGLY AND VOLUNTARILY WAIVE A JURY TRIAL TO THE MAXIMUM EXTENT PERMITTED BY LAW.
29.8 Opt-out right
You may opt out of this arbitration agreement within 30 days after you first accept these Terms. Submit the opt-out through the in-app Arbitration Opt-Out control or shopinion.ai/arbitration-opt-out when available, by email to legal@shopinion.ai, or by mail to Shopinion Inc., Attn: Arbitration Opt-Out, 1607 Tucumcari Dr, Houston, TX 77090, United States. Include your full name; the account phone number, email, or account identifier; and a clear statement that you opt out of Section 29. No particular legal language is required. A timely opt-out does not affect the other Terms and has no adverse effect on your account, access, or eligibility for the Service.
29.9 Severability and changes
If the prohibition on class, collective, or representative arbitration is found unenforceable for a particular claim or requested remedy, that claim or remedy will proceed in court and any enforceable individual claims will remain in arbitration; there will be no class arbitration without Shopinion's express written agreement. Otherwise, an unenforceable part of this Section will be severed to the minimum extent necessary. A material change to this Section will not apply retroactively to a Dispute of which either party had actual notice before the change became effective. If Shopinion materially changes this Section for existing users, it will provide advance notice, obtain renewed assent where required, and provide a new 30-day opt-out right for the change. This Section survives termination of your account and these Terms.
30. Governing law and court venue
The Federal Arbitration Act governs Section 29. Subject to that Section, your nonwaivable rights, and any law that applies regardless of the parties' choice, these Terms and any Dispute are governed by the laws of the State of Texas, without regard to conflict-of-law rules.
Any claim that is not subject to arbitration or small-claims jurisdiction must be brought in the state or federal courts located in Harris County, Texas, and each party consents to personal jurisdiction and venue there, except where applicable consumer law gives you a nonwaivable right to bring a claim in another forum. If you validly opt out of Section 29, this court-venue provision applies to disputes covered by the opt-out to the extent enforceable.
31. Mobile application platform terms
31.1 Apple App Store
If you obtained the app through Apple's App Store, these Terms are between you and Shopinion, not Apple. The license is limited to use of the app on Apple-branded products that you own or control as permitted by the App Store Usage Rules, including applicable family-sharing, legacy-contact, or volume-purchase features.
Apple has no obligation to provide maintenance or support. If the app fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price for the app, if any; to the maximum extent permitted by law, Apple has no other warranty obligation. Shopinion is responsible for any other warranties that cannot lawfully be disclaimed.
Shopinion, not Apple, is responsible for claims relating to the app, including product-liability, consumer-protection, privacy, legal or regulatory, and intellectual-property claims. In the event of a third-party claim that the app or your possession and use of it infringes intellectual-property rights, Shopinion, not Apple, is responsible for the investigation, defense, settlement, and discharge of the claim. You represent that you are not located in a country or region subject to a U.S. government embargo and are not on a U.S. restricted-party list. You must comply with applicable third-party terms, including your wireless-data agreement.
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce the Apple-specific provisions against you.
31.2 Google Play
If you obtained the app through Google Play, these Terms are between you and Shopinion, not Google. Any end-user license agreement for the app is solely between you and Shopinion. Google is not responsible for the Service, Content, support, warranties, or claims except to the extent required by Google Play terms or applicable law. Your use must comply with the then-current Google Play terms and policies, and those terms may control to the extent they expressly supersede a conflicting app-license provision.
32. California consumer notice
Shopinion Inc. is located at 1607 Tucumcari Dr, Houston, TX 77090, United States, and may be contacted at +1 713-859-6242 or support@shopinion.ai. Shopinion currently does not charge a recurring fee to create a consumer account. Before any paid or automatically renewing feature is purchased, the applicable screen will display the price, billing frequency, renewal terms, cancellation method, and other disclosures required by law.
Complaints about the Service may be sent to support@shopinion.ai or the mailing address above. California residents may also contact the Consumer Information Center or Complaint Assistance Unit of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, or by telephone at (800) 952-5210. Hearing-impaired users may dial 711 or use the relay contact methods published by the Department.
33. Changes to these Terms
Shopinion may update these Terms as the Service, law, risks, vendors, or business practices change. We will post the updated version and revise the effective or last-updated date. For a material change, we will provide additional notice, such as an in-app message, acceptance screen, SMS, or email, before the change takes effect when required or reasonably practicable.
Your continued use after the effective date constitutes acceptance only where legally permitted and after reasonably conspicuous notice. We will obtain affirmative consent when law requires it or when we determine renewed assent is appropriate, including for material changes to dispute resolution as described in Section 29.9. Changes do not retroactively reduce a vested right or apply to an existing Dispute contrary to Section 29.9.
34. Miscellaneous and contact information
Entire agreement and order of precedence. These Terms and the supplemental terms presented for a specific feature, including the Data Import and Ongoing Sync Agreement, form the agreement governing the Service. More specific terms control for their subject. They supersede prior agreements on the same subject but do not replace a Merchant Services Agreement, data-processing agreement, promotion rules, source-provider agreement, or another separate agreement that expressly remains in effect. A supplemental agreement between you and Shopinion does not bind a retailer, financial institution, Plaid, or another third party unless that party separately agrees.
Severability. If a provision is unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will continue, subject to the special rule in Section 29.9.
No waiver. A failure to enforce a provision is not a waiver. A waiver must be in writing and applies only to the specific instance.
Assignment. You may not assign these Terms without Shopinion's written consent. Shopinion may assign them in connection with a merger, financing, reorganization, acquisition, sale of assets, corporate restructuring, or operation of law, subject to applicable privacy and consumer-protection requirements. An assignment does not authorize a materially different use of personal data without legally required notice or consent.
No agency or fiduciary relationship. These Terms do not create an employment, partnership, joint venture, fiduciary, franchise, agency, brokerage, or advisory relationship between you and Shopinion, or between Shopinion and a merchant, except under a separate written agreement.
Third-party beneficiaries. No person is a third-party beneficiary except Apple and its subsidiaries for Section 31.1 and any other party expressly identified in supplemental terms.
Force majeure. Shopinion is not liable for delay or failure caused by events beyond reasonable control, including natural disaster, epidemic, war, civil disorder, labor dispute, government action, utility or internet failure, cyberattack, app-store action, third-party platform failure, or supplier interruption, except to the extent law provides otherwise.
Survival. Provisions that by their nature should survive will survive termination, including intellectual property, retained-copy licenses, feedback rights, disclaimers, liability limits, indemnification, dispute resolution, governing law, and miscellaneous terms.
